Acceptance of Terms

Welcome to Fleurspace. By accessing or using the Fleurspace website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. Fleurspace reserves the right to modify these Terms at any time. Updated Terms will become effective upon posting. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

Eligibility

You must be at least 18 years old to use Fleurspace.

By using the Platform, you represent that:

you can legally enter into binding agreements
all information you provide is accurate
you will comply with all applicable laws and regulations

User Accounts

To access certain features, you may be required to create an account.

You are responsible for:

maintaining the confidentiality of your account credentials
all activity conducted through your account
keeping your information accurate and up to date

Fleurspace reserves the right to suspend or terminate accounts that violate these Terms.

Our Services

Fleurspace provides a marketplace where users may:

List and book floral workspaces and studios.
Offer freelance floral services.
Search and apply for jobs.
Post employment opportunities.
Connect with members of the floral industry. Fleurspace is not a party to agreements between users and does not employ, supervise, or guarantee the performance of any user.

Space Listings

No Subscription Required:

A subscription is not required to create or maintain a workspace listing. Space hosts pay a commission only when a booking is successfully completed through Fleurspace.

Commission:

Fleurspace charges a 15% commission on completed space bookings. The commission is automatically deducted from the booking amount before payout to the host. This commission helps cover payment processing fees, transaction-related expenses, platform administration, booking management, customer support, recordkeeping, and other operational costs associated with facilitating transactions through the FleurSpace marketplace. Commission rates may be updated in the future upon reasonable notice.

Space Booking Rules:

To protect both hosts and guests and maintain a trusted marketplace, all communication regarding space rentals must remain on the Fleurspace platform until a booking has been completed. Users may not:

Share phone numbers, email addresses, websites, social media accounts, or other contact information before a booking.
Request or encourage another user to complete a booking outside Fleurspace.
Accept payment outside Fleurspace for bookings initiated on the Platform.
Attempt to avoid Fleurspace's commission. Our system automatically monitors messages for attempts to move bookings off-platform. Messages containing contact information or language intended to bypass Fleurspace may be automatically flagged, delayed, or blocked. Hosts or guests who attempt to circumvent the Platform will be subject to investigation. Users who demonstrate a pattern of moving bookings off-platform or encouraging others to do so may face one or more of the following actions:
Removal of messages
Listing suspension
Account suspension
Financial penalties or recovery of unpaid commissions
Permanent removal from Fleurspace

Users listing studios, workspaces, or properties (“Hosts”) are solely responsible for:

maintaining safe premises
ensuring accuracy of listings
complying with zoning, lease, insurance, HOA, venue, or local regulations
obtaining any required permissions
Requesting day of insurance

Hosts may not list spaces they do not have authority to rent or share.

Freelancer Services & Job Board Subscriptions

An active Fleurspace subscription is required to:

Maintain a freelancer service listing.
Apply for jobs posted on the Fleurspace Job Board.
Post jobs on the Fleurspace Job Board.
View subscriber only job details and contact information where available.
Access subscriber only platform features.

A subscription is not required to browse publicly available portions of the Platform. Users offering services (“Service Providers”) may list freelance or creative services including but not limited to:

floral design
installation assistance
event setup and strike
flower processing
on-site support
production assistance
drivers

Service Providers agree that:

all qualifications and experience represented are truthful
portfolio materials belong to them or are used with permission
services comply with applicable laws
they will conduct themselves professionally and safely

Fleurspace reserves the right to remove any listing at its sole discretion.

Service Booking Commission:

A 10% commission applies to all service bookings completed through FleurSpace. This commission is deducted from the service provider’s booking payment and helps cover payment processing fees, transaction-related expenses, platform administration, booking management, customer support, recordkeeping, and other operational costs associated with facilitating transactions through the FleurSpace marketplace.

The 10% commission applies only when a service is booked and paid for through FleurSpace. The monthly FleurSpace subscription fee does not replace or include the service booking commission.

FleurSpace reserves the right to modify its commission structure with notice to users.

Promotional Lifetime Pricing:

The first 500 subscribers who activate a paid subscription will receive promotional pricing of $5 USD per month for life, provided that:

Their subscription remains continuously active.
Payments are successfully processed.
Their subscription is never canceled or allowed to lapse. If a qualifying subscriber cancels, allows the subscription to expire, or experiences an unresolved payment failure, the promotional lifetime pricing is permanently forfeited and cannot be reinstated. Future subscriptions will be billed at the pricing in effect at that time. This promotion is limited to one subscription per user and is non-transferable.

Subscription Pricing:

Except for subscribers who maintain the lifetime promotional pricing described above, Fleurspace reserves the right to:

Change subscription prices.
Introduce new subscription plans.
Modify subscription benefits.
Discontinue existing plans. Price changes become effective at the next billing cycle following reasonable notice unless otherwise required by law. Fleurspace may offer temporary promotions or discounts at its sole discretion. Promotional pricing does not entitle previous or existing subscribers to refunds, credits, or retroactive discounts.

Billing & Renewals:

Subscriptions automatically renew until canceled. By subscribing, you authorize Fleurspace to charge your selected payment method for recurring subscription fees. Subscription fees are billed in advance.

Cancellation & Refunds:

Subscribers may cancel at any time. Cancellation prevents future billing but does not entitle the subscriber to a refund or credit for unused time except where required by law. Subscription fees are otherwise non-refundable. Upon cancellation or expiration, users will lose:

Their freelancer service listing.
Access to the Job Board.
The ability to apply for jobs.
The ability to post jobs.
Subscriber-only features.
Promotional lifetime pricing.

Changes to Subscription Benefits:

Fleurspace continually improves the Platform and reserves the right to add, remove, modify, replace, or discontinue subscription features at any time. A subscription grants access to the Platform and its available features during the subscription period but does not guarantee that any specific feature will remain available indefinitely.

Payments

All payments processed through Fleurspace are subject to our payment processor's terms and policies. Users are responsible for providing accurate payment information. Fleurspace is not responsible for payment processor errors, banking delays, or third-party payment issues.

Bookings and Transactions

Users are solely responsible for negotiating and fulfilling agreements made through the Platform.

Fleurspace is not responsible for:

cancellations
no-shows
late arrivals
unsatisfactory services
property damage
disputes between users
injuries or losses

User Conduct

Users agree not to:

Provide false or misleading information.
Impersonate another person or business.
Violate any applicable laws.
Interfere with the operation of the Platform.
Circumvent Fleurspace's payment system.
Attempt to avoid commissions or subscription fees.
Harvest user information or spam other members. Fleurspace may investigate and remove content or accounts that violate these Terms.

No Guarantee

Fleurspace does not guarantee:

Bookings.
Employment.
Freelance opportunities.
Client inquiries.
Income.
Revenue.
Business growth. Users are solely responsible for the services they provide and any agreements entered into with other users.

Reviews and Ratings

Users may leave reviews and ratings.

Reviews must:

reflect honest experiences
not contain false, defamatory, abusive, or discriminatory content
not be used for extortion or retaliation

Fleurspace reserves the right to remove reviews or ratings at its discretion.

User Content

Users retain ownership of content they upload, including:

photos
portfolios
logos
listing descriptions
reviews
messages

By posting content, you grant Fleurspace a worldwide, non-exclusive, royalty-free license to:

display
reproduce
modify
distribute
market
promote

that content in connection with operating and promoting the Platform.

You represent that you have the right to upload and use all content provided.

Intellectual Property

All Platform content excluding user-generated content, including branding, design, graphics, software, and text, is owned by Fleurspace or its licensors.

You may not:

copy
reproduce
distribute
reverse engineer
exploit

any portion of the Platform without written permission.

Safety and Insurance

Users are responsible for their own safety and risk assessment.

Fleurspace strongly recommends that users maintain appropriate insurance, including:

general liability insurance
commercial property insurance
workers’ compensation insurance where applicable
event insurance

Host-Requested Day-of Insurance:

Hosts listing spaces on Fleurspace may choose to require renters to obtain short-term, day-of insurance coverage as a condition of booking their space. When a host requires day-of insurance:

The renter may be required to provide proof of appropriate insurance coverage before the booking is confirmed or before accessing the space.
The host is responsible for clearly communicating any insurance requirements in their listing details.
Renters are responsible for obtaining any required insurance coverage and ensuring that the coverage meets the host's requirements.
Fleurspace may facilitate access to third-party insurance providers or services but is not an insurance provider, broker, or agent and does not guarantee the availability, terms, or adequacy of any insurance policy. Fleurspace is not responsible for determining whether insurance coverage is sufficient for a particular booking, event, activity, property, or user. Hosts and renters are responsible for evaluating their own insurance needs and obtaining appropriate coverage. Failure to provide required insurance documentation may result in cancellation of a booking or denial of access to the listed space, as determined by the host.

Fleurspace is not responsible for:

workplace injuries
accidents
theft
damage to equipment or property
personal injury
venue damages

Third-Party Services

The Platform may contain integrations or links to third-party services including:

payment processors
maps
social media platforms
analytics providers

Fleurspace is not responsible for third-party content, policies, or services.

Suspension & Termination

Fleurspace reserves the right to suspend or permanently terminate any account for violations of these Terms. Reasons may include, but are not limited to:

Attempting to move transactions off-platform.
Fraudulent activity.
Abuse of the Platform.
Non-payment.
Harassment.
Repeated policy violations. No refunds will be provided for accounts suspended or terminated due to violations of these Terms.

Limitation of Liability

To the fullest extent permitted by law, Fleurspace shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform. Users assume all risks associated with renting spaces, hiring freelancers, accepting work, or conducting business through Fleurspace.

Indemnification

Users agree to indemnify and hold Fleurspace, its owners, employees, affiliates, and partners harmless from any claims, damages, liabilities, losses, or expenses arising from their use of the Platform or violation of these Terms.

Dispute Resolution and Arbitration

Any dispute arising from these Terms or use of the Platform shall be resolved through binding arbitration in the State of California, except where prohibited by law.

Users waive the right to:

jury trials
class actions
class arbitration

You agree that disputes will be resolved individually.

Governing Law

These Terms shall be governed by the laws of the State of California without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Orange County, California, unless otherwise required by applicable law.

Changes to These Terms

Fleurspace may update these Terms at any time.

Updated Terms become effective upon posting to the Platform. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
